Private License Agreement

1. Definitions

1.1 "Software" refers to the NuGet package and all associated files, documentation, and materials.

1.2 "Licensee" refers to the individual or entity that has received the Software under this Agreement.

2. Grant of License

2.1 Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to use the Software solely for internal purposes.

3. Restrictions

3.1 The Licensee shall not:

• Distribute, sell, lease, or sublicense the Software to any third party.
• Modify, adapt, translate, or create derivative works based on the Software.
• Reverse engineer, decompile, or disassemble the Software.
• Remove or alter any proprietary notices or labels on the Software.

4. Ownership

4.1 The Software is licensed, not sold. The Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.

5. Termination

5.1 This Agreement is effective until terminated. The Licensee may terminate this Agreement at any time by destroying all copies of the Software in their possession.

5.2 The Licensor may terminate this Agreement immediately if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must destroy all copies of the Software.

6. Disclaimer of Warranties

6.1 The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

7.1 In no event shall the Licensor be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) arising out of the use of or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.

8. Governing Law

8.1 This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law principles.

9. Entire Agreement

9.1 This Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
