CODEWORX DEVELOPER LICENSE AGREEMENT

This is a commercial product and requires a paid license for possession or use.

This Codeworx, ("CODEWORX") Developer License Agreement ("DLA") is a legal agreement between you, software developer ("DEVELOPER") and CODEWORX for Codeworx.Synchronization and all including components, source code (if provided), demos, intermediate files, media, printed materials, and "online" or electronic documentation ("SOFTWARE") contained in this installation file.

CODEWORX grants to you, a non-transferable, non-exclusive license to install and use the SOFTWARE. If you are an entity, you must designate one individual within your organization to use the SOFTWARE in the manner provided herein.

The SOFTWARE may contain functionality intended to limit the duration of its use and is intended to collect certain usage metrics.

All SOFTWARE is licensed, not sold. This agreement only gives you certain rights to use the software. CODEWORX reserve all other rights.

By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this DLA. If you do not agree to any part of the terms of this DLA, DO NOT INSTALL, USE THE SOFTWARE.

You may not:

• work around any technical limitations in the software;
• reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits, despite this limitation;
• publish the software for others to copy;
• use the software in any way that is against the law;
• rent, lease or lend the SOFTWARE;
• create any tool or software that directly or indirectly competes with the SOFTWARE.

There is a possibility to use a TRIAL Version for TEST PURPOSES only. The trial version may not be used in the development and production environment.´

You are not authorized to redistribute any other file contained in the Software.

INSTALLATION AND USE

The license granted in this DLA for you to create your own compiled programs and distributes your programs and the Redistributables (if any), is subject to all of the following conditions:

1. You may not remove or alter any CODEWORX copyright, trademark or other proprietary rights notice contained in any portion of CODEWORX libraries, source code if provided, Redistributables or other files that bear such a notice;
2. CODEWORX provides no warranty at all to any person, other than the Limited Warranty provided to the original purchaser of the SOFTWARE, and you will remain solely responsible to anyone receiving your programs for support, service, upgrades, or technical or other assistance, and such recipients will have no right to contact CODEWORX for such services or assistance;
3. CODEWORX is never responsible for any data loss which may occur.
4. You will indemnify and hold CODEWORX its related companies and its suppliers, harmless from and against any claims or liabilities arising out of the use, reproduction or distribution of your programs;
5. Your programs must add primary and substantial functionality, and may not be merely a set or subset of any of the libraries, code, Redistributables or other files of the SOFTWARE;
6. You may not use CODEWORX or any of its supplier’s names, logos, or trademarks to market your programs.

LIMITED WARRANTY

NO WARRANTIES. CODEWORX licenses, and DEVELOPER accepts, the licensed programs "AS IS” WITHOUT WARRANTY OF ANY KIND. CODEWORX PROVIDES NO WARRANTIES AS TO THE FUNCTION OR USE OF THE SOFTWARE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE LICENSED PROGRAM IS WITH DEVELOPER. Especially no warranty for any possible data loss. IN NO EVENT SHALL CODEWORX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR INTERRUPTION OF BUSINESS, HOWEVER CAUSED OR ON ANY THEORY OF LIABILITY, even if CODEWORX has been advised of the possibility of such damages.

SUPPORT SERVICES

CODEWORX may provide you with support services related to the SOFTWARE ("SUPPORT SERVICES"). However, this needs an extra agreement and payment.

APPLICABLE LAW

This agreement shall be governed by, and construed in accordance with, Austrian law. Exclusive jurisdiction and legal venue for all disputes arising from this contract shall be Wels (Austria).

MISCELLANEOUS

This license is subject to change without notice in future updates to the SOFTWARE.
