Software Proprietary License Agreement

This Proprietary License Agreement ("Agreement") is made by EPiInnovate ("Licensor"), which holds copyright over certain proprietary enhancements to a .NET framework designed for Elasticsearch and adapted for .NET Core, referred to as EPiInnovate.Elasticsearch.EPiServer.* ("Enhanced Software").

Grant of License

Under the terms of this Agreement, the Licensor grants the licensee a non-exclusive, non-transferable, non-sublicensable, and fee-based license to utilize the Modified Software.

Original Software Usage

The original, unaltered framework is governed by the MIT License. That license remains unaffected by this Agreement provided the unmodified framework is not employed in a manner that circumvents the licensing stipulations for the Modified Software.

Proprietary Rights and Restrictions

The modifications made to adapt the software for .NET Core are proprietary to the Licensor. The licensee is expressly prohibited from altering, merging, distributing, reverse-engineering, or sublicensing the Modified Software.

Demo License Provision

The Licensor provides a demo license of the Modified Software strictly for evaluation purposes. This demo license is time-constrained and bound by the terms of this Agreement.

Financial Obligation

The licensee is obligated to remit the licensing fee as set by the Licensor prior to using the Modified Software.

Warranty Disclaimer

The Modified Software is made available "as is," with no warranties whatsoever. All express, implied, or statutory warranties are hereby disclaimed by the Licensor.

Liability Limitation

The Licensor's liability shall not exceed the minimum permissible under applicable law, and is not responsible for any indirect, incidental, or consequential damages arising from the Software's use.

Termination of Agreement

This Agreement is effective until terminated. Upon termination, the licensee must cease all use of the Modified Software and destroy all copies in their possession.

Governing Law

This Agreement shall be governed and construed in accordance with the laws of the jurisdiction where the Licensor is located, excluding its conflict of law provisions.

Complete Understanding

This document represents the entire Agreement between the parties concerning the subject matter, superseding all prior agreements and understandings, written or oral.

MIT License

The original framework is provided under the MIT License, a copy of which is included for compliance with the terms of that license for unmodified portions.

By using the Modified Software, the licensee acknowledges that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
