MIT LICENSE WITH EMPLOYEE LIMITATION

This Component Library License Agreement (the "Agreement") is entered into by and between:

Blazor School, a corporation duly organized and existing under the laws of Vietnam, having its principal place of business at 68 N1 street, ward Son Ky, Tan Phu District, Ho Chi Minh (hereinafter referred to as the "Licensor").

AND

The entity or individual accepting the terms of this Agreement ("Licensee").

Collectively referred to as the "Parties."

WHEREAS, Licensor has developed a software component library known as "Blazor Library" (the "Component Library") which is intended to be used in conjunction with the Blazor framework;

WHEREAS, Licensee desires to obtain a license to use the Component Library for its software development projects, subject to the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties hereby agree as follows:

1. LICENSE GRANT

1.1 License Grant: Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, royalty-free license to use the Component Library in its software projects for personal and business use, provided that the business has fewer than 10 employees.

1.2 Businesses with 10 or More Employees: Businesses with 10 or more employees are required to obtain a separate, paid license from Licensor to use the Component Library. Licensor reserves the right to determine the terms and fees for such licenses.

2. RESTRICTIONS

2.1 No Redistribution: Licensee may not redistribute the Component Library, in whole or in part, as a standalone product, component library, or any other form.

2.2 No Sublicensing: Licensee may not sublicense, rent, lease, or otherwise transfer the rights granted under this Agreement to any third party.

3. INTELLECTUAL PROPERTY

3.1 Ownership: Licensee acknowledges and agrees that the Component Library and all associated intellectual property rights remain the exclusive property of Licensor.

3.2 No Reverse Engineering: Licensee shall not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Component Library.

4. WARRANTY DISCLAIMER

THE COMPONENT LIBRARY IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

5. LIMITATION OF LIABILITY

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. TERMINATION

This Agreement may be terminated by either party upon written notice if the other party breaches any material term or condition of this Agreement.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law principles.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and negotiations, whether written or oral.

IN WITNESS WHEREOF, the Parties hereto have executed this Component Library License Agreement as from the version 7.1.0
