End User License Agreement (EULA)

IMPORTANT NOTICE

PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. THIS EULA IS A LEGAL AGREEMENT BETWEEN YOU ("USER") AND BALSAM RESEARCH, LLC ("COMPANY"). BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.

If you are accepting this EULA on behalf of a company or legal entity, you represent that you have the authority to bind such entity to this agreement.

1. DEFINITIONS

1.1 "Agreement" refers to this End User License Agreement.

1.2 "Company" means Balsam Research, LLC.

1.3 "Software" means the library or software package provided by Company, including all updates, upgrades, patches, documentation, and related materials.

1.4 "User" means the individual or entity that has obtained a valid license to use the Software.

2. LICENSE GRANT AND RESTRICTIONS

2.1 License Grant
Subject to the terms of this EULA, Company grants User a limited, non-exclusive, non-transferable license to install and use the Software solely for User�s internal business purposes. User may develop internal-use applications that depend on or interface with the Software, provided such applications are not distributed or made accessible to third parties except as expressly authorized in a separate written agreement with Company.

2.2 License Restrictions
User shall not, and shall not permit any third party to:

• (a) Sublicense, lease, rent, loan, or otherwise transfer the Software to any third party;
• (b) Decompile, disassemble, or otherwise attempt to derive the source code of the Software, except as expressly permitted by applicable law;
• (c) Tamper with, bypass, or attempt to circumvent any license management, copy protection, or usage enforcement mechanisms built into the Software.
• (d) Remove, alter, or obscure any proprietary notices or labels on the Software;
• (e) Expose the Software�s functionality to third parties through a public API, web interface, hosted service, or any other method that enables indirect access, without a seperate agreement;
• (f) Use the Software in violation of any applicable law or regulation.

3. OWNERSHIP

3.1 Ownership
The Software is licensed, not sold. Company retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to User except as expressly set forth in this EULA.

3.2 Feedback
User may, but is not obligated to, provide feedback or suggestions about the Software. Company may use such feedback without restriction or compensation. User hereby assigns to Company all rights, title, and interest in and to any such feedback.

4. SUPPORT AND MAINTENANCE

4.1 Support
Company may provide technical support or maintenance services for the Software at its discretion. Such services may be subject to separate terms and fees.

5. DISCLAIMER OF WARRANTIES

5.1 No Warranties
THE SOFTWARE IS PROVIDED �AS IS� WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS.

6. LIMITATION OF LIABILITY

6.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE. COMPANY�S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY USER FOR THE SOFTWARE.

7. COLLECTION AND USE OF PERSONAL INFORMATION

7.1 Personal Information
Company may collect certain information from or about the User or the device on which the Software is installed, including email address, IP address, machine name, username, and hardware identifiers.

7.2 Use of Personal Information
Company may use this data to provide, maintain, and improve the Software; to verify license compliance; and for product-related communications or marketing.

7.3 Protection of Personal Information
Company will use reasonable efforts to protect any collected personal information in accordance with applicable laws. Company will not disclose such information except as necessary to provide the Software or as required by law. Company does not sell personal information to third parties.

7.4 Consent
By installing or using the Software, User consents to the collection and use of personal information as described above.

8. THIRD PARTY COMPONENTS

8.1 Open Source and Third-Party Code
The Software may include or depend on third-party or open-source libraries, which are subject to their own license terms. A list of such components and associated licenses is available on our website at: https://www.balsamresearch.com/third-party-notices.txt These components are provided �as is� and without warranty or liability from the Company.

9. GOVERNING LAW

9.1 Governing Law
This EULA shall be governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in Connecticut.

10. MISCELLANEOUS

10.1 Entire Agreement
This EULA constitutes the entire agreement between the parties and supersedes all prior agreements or understandings related to the Software.

10.2 Severability
If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in full force and effect.

10.3 Waiver
No failure or delay by either party in exercising any right shall operate as a waiver of that right.

10.4 Amendments
Any modifications or amendments to this Agreement must be in writing and signed by both parties.
